1. Introduction

Welcome to The Search Hawk. We specialise in website design, search engine optimisation (SEO), social media management, and advertising management services. These Terms & Conditions govern your use of our services and our engagement with you.

2. Services Provided

We offer a comprehensive range of digital marketing services, including but not limited to:

  • Website Design: Crafting and maintaining websites to enhance user experience and engagement.
  • SEO: Implementing strategies to improve website visibility and rankings on search engines.
  • Social Media Management: Managing social media profiles and content to increase engagement and brand presence.
  • Ad Management: Creating and managing advertising campaigns to maximise reach and effectiveness.

We commit to delivering these services according to agreed standards, including specified deadlines, quality assurances, and performance metrics. Reporting on these metrics will occur at intervals agreed upon in the service agreement. It’s important to note that service delivery may be influenced by factors outside our control, including third-party platform policies and technical limitations.

To accommodate evolving business needs and unforeseen circumstances, services may be adjusted with mutual agreement. Any changes in services will be documented and reflected in an updated service agreement, including any adjustments to billing.

3. Retainer Contracts

  • Initial Term: Retainer contracts are established for a fixed period of 6 months, ensuring ongoing support for our clients who require long-term engagements.
  • Rolling Contract: Following the initial term, contracts automatically renew into a rolling contract, terminable by either party with a 3-month written notice.
  • Cancellation Policy: A 3-month written notice is required for contract cancellation, applicable for both the initial term and rolling contracts.

Service adjustments during the contract term, whether an increase or decrease in scope, will be subject to agreement on new terms and reflected accordingly in billing.


4. Payment Terms

  • Retainer Payments: Detailed in each service agreement, these are billed monthly, reflecting the terms outlined in the retainer contract. Pricing remains stable throughout the initial 6-month term.
  • Pricing Review: Post-initial term, we reserve the right to adjust service pricing, with changes communicated at least 3 months in advance.
  • Non-refundable Payments: Payments towards the retainer agreement are non-refundable, emphasising our commitment to long-term engagements.
  • Late Payment Fee: A fee of £30 is levied for late payments to cover administrative costs, subject to future changes.


5. Client Responsibilities

Clients are crucial to the successful delivery of our services. Responsibilities include:

  • Providing necessary information, materials, and access for service delivery.
  • Adhering to payment schedules as outlined in the service agreement.
  • Engaging in the approval process for work completed, facilitating timely revisions and finalisation.

Requests for additional work or changes outside the initial scope will be addressed separately, involving agreement on additional fees and adjustments to deliverables.

  • Feedback and Revisions: Clients are expected to provide timely feedback on delivered work. Our standard service includes up to 3 rounds of revisions. Additional revisions beyond this number may incur extra charges, which will be agreed upon in advance.


6. Intellectual Property

The intellectual property of all work created and delivered by The Search Hawk remains with us until full payment. Upon completion, clients receive a licence to use the work as agreed. This section also covers the use of client feedback and testimonials, which may be used by The Search Hawk for marketing purposes with client consent.

7. Liability and Indemnification

Liability for indirect, special, or consequential damages is not assumed by The Search Hawk. Clients agree to indemnify us against any arising claims, with liability limited to the service fees paid.

For arbitration, disputes will proceed according to the London Court of International Arbitration (LCIA) rules, ensuring a structured and fair resolution process. This choice underscores our commitment to resolving disputes efficiently and with regard to international best practices.

8. Confidentiality and Data Protection

Confidential information related to services and contracts is safeguarded by both parties, with the exception of legally required disclosures. The Search Hawk adheres to applicable data protection laws, ensuring client data is handled and protected with the utmost care.

The Search Hawk commits to rigorous data protection practices in line with GDPR and other relevant legislation. This includes safeguarding client information, transparent data use policies, and respecting clients’ rights to access, correct, or delete their personal data.

9. Dispute Resolution

Should disputes arise, we aim for resolution through mutual negotiation first, followed by mediation or arbitration under UK law as necessary.

For arbitration, disputes will be governed by the rules of the London Court of International Arbitration (LCIA), providing a structured approach to resolving disputes in a fair and impartial manner. This ensures that any arbitration is conducted under internationally recognized standards and practices.

10. Amendments

We reserve the right to update these Terms & Conditions, ensuring clients are notified of significant changes.

11. Governing Law

Governing law for these Terms & Conditions is the United Kingdom, specifically under the jurisdiction of England and Wales.

In cases of force majeure or emergency situations beyond The Search Hawk’s control, efforts will be made to notify clients promptly and adjust service delivery expectations and timelines as necessary.

13. Entire Agreement

This document, alongside any service agreements or appendices, constitutes the entire agreement between The Search Hawk and its clients, superseding all prior agreements and understandings.

The Search Hawk values client feedback and testimonials. Clients are encouraged to provide honest feedback on their experience. With client consent, testimonials may be used for marketing purposes, showcasing the success stories and results achieved.
